Terms of Service

ListingShield AI (the "Service") is operated by Gungo Labs, a subsidiary of Gungo Ridge, LLC. ("we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our website, mobile app, and compliance screening tools. By creating an account or running a scan, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

The Service is intended for use by real estate professionals, including agents, brokers, and brokerage staff. You must be at least 18 years old and legally able to enter into a binding agreement to use the Service. By using the Service, you represent that you meet these requirements.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use or security breach. We may suspend or terminate your account if we believe it has been compromised or used in violation of these Terms.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law.
• Attempt to access, reverse engineer, or disrupt the Service's systems, databases, or rule logic.
• Resell, sublicense, or redistribute access to the Service without our written permission.
• Use the Service to generate content that violates fair housing law or any advertising regulation in your jurisdiction.
• Upload or submit content that infringes the intellectual property rights of any third party.

Paid plans are billed on a monthly subscription basis. The price and features of each plan are described on the Billing page. Every paid plan starts with a 14-day free trial; a payment method is required to begin the trial and you may cancel at any time during the trial and you will not be charged.

After the trial, your selected payment method is charged automatically each month until you cancel. You can cancel your subscription at any time; cancellation takes effect at the end of the current billing period and you retain access until then.

We may change our pricing upon reasonable notice. Any price change takes effect at the start of your next billing cycle after the notice.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payments, billing, invoicing, taxes, subscription management, cancellations, and refunds are governed by Paddle's Buyer Terms. You can manage or cancel your subscription, and request a refund, through Paddle at paddle.net or by contacting us.

We offer a 30-day money-back guarantee. If you are not satisfied with ListingShield AI, you can request a full refund within 30 days of your order date. Full details are in our Refund Policy.

We offer a free, no-signup listing scan so you can evaluate the Service. Free scans are limited in scope: they show a compliance score and a preview of findings, with the full report locked behind account creation. If you request the full report by email, we store your email address and scan details as described in our Privacy Policy.

The AI Safe-Rewrite and other AI-assisted features generate suggested text based on your input. AI output is provided for your convenience and may contain errors or omissions. You are solely responsible for reviewing, editing, and approving any AI-generated content before publishing it. We do not guarantee that AI-generated text is fully compliant with every applicable rule in your jurisdiction.

ListingShield AI provides automated regulatory risk screening based on federal and state guidelines. It does not constitute formal legal advice, an attorney-client relationship, or a guarantee that a listing will not be challenged. You remain solely responsible for ensuring your listings comply with all applicable laws, MLS rules, and state board requirements. We recommend consulting a qualified attorney or your broker for specific compliance questions.

The Service, including its software, design, rule logic, and branding, is owned by us and protected by intellectual property laws. You retain ownership of the listing content you submit for scanning. By submitting content, you grant us a limited license to process it solely to provide the Service to you.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that it will detect every possible compliance violation. To the fullest extent permitted by law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the fullest extent permitted by applicable law, in no event shall Gungo Labs, Gungo Ridge, LLC, or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Service — even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim arising from the Service is limited to the amount you paid us in the three months preceding the claim, or fifty U.S. dollars ($50), whichever is greater.

You agree to indemnify and hold harmless Gungo Labs, Gungo Ridge, LLC, and its affiliates from any claims, damages, or expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

You may delete your account or cancel your subscription at any time. We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination — including those regarding ownership, disclaimers, limitation of liability, and indemnification — will remain in effect.

We may update these Terms from time to time. We will note the updated effective date below and, for material changes, provide a notice in the Service. Continued use after changes take effect means you accept the updated Terms.

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles. You agree to the exclusive jurisdiction of the state and federal courts located in Texas for any dispute arising from these Terms or the Service.
